ANNOUNCEMENT

The distribution agreement between NovaBone Products, LLC and Shanghai Shenrun Medical Instrumental Co., Ltd in China has been terminated. Hence, I am making the following announcements:

1. Effective this date, Shanghai Shenrun Medical Instrumental Co., Ltd is no longer our distributor anywhere in China and any authorization to Shanghai Shenrun Medical Instrumental Co., Ltd from NovaBone Products, LLC is no longer effective;

2. Effective this date, sale by Shanghai Shenrun Medical Instrumental Co., Ltd of “NovaBone” products is no longer authorized. Also, effective this date, purchase of “NovaBone” products from Shanghai Shenrun Medical Instrumental Co., Ltd is not authorized. NovaBone Products, LLC believes the sale of “NovaBone” products by Shanghai Shenrun Medical Instrumental Co., Ltd or the purchase of “NovaBone” products from Shanghai Shenrun Medical Instrumental Co., Ltd is in violation of NovaBone Products, LLC interests and rights and NovaBone Products, LLC will take legal action to protect its interests;

3. “NovaBone” products are only distributed by authorized distributors with a NovaBone Products, LLC effective authorization letter in China.

声明

　　上海申润医疗设备有限公司原系美国诺邦生物制品有限公司(NovaBone Products, LLC, USA)在中国的总代理。代理期限到2006年12月7日止。美国诺邦生物制品有限公司提前两个月已书面通知上海申润医疗设备有限公司，不再延续其代理关系，并对善后事宜双方进行协商。因此美国诺邦生物制品有限公司上海代表处郑重声明如下：

　　一、上海申润医疗设备有限公司已经不是美国诺邦生物制品有限公司的中国任何一个地方的代理，已无“固骼生(NovaBone)”产品销售权；并且美国诺邦生物制品有限公司向上海申润医疗设备有限公司的所有授权随着代理合同的终止而无效。
　　二、上海申润医疗设备有限公司向各医疗单位发布的“固骼生(NovaBone)”产品的价格信息和资料全属虚假。请广大医疗用户甄别。
　　三、即日起，美国诺邦生物制品有限公司上海代表处( www.novabone.com.cn )为美国诺邦生物制品有限公司在中国地区唯一的市场管理及售后服务机构。本公司的“固骼生(NovaBone)”产品将由持有本公司授权书的代理商销售。任何单位或者个人，从上海申润医疗设备有限公司购买“固骼生(NovaBone)”产品从事经营活动，其行为将侵犯美国诺邦生物制品有限公司的合法权利，美国诺邦生物制品有限公司将依法追究其法律责任。
